​Part 1: General Provisions

Article 1: Definitions and Interpretation

 

1.1 Definitions

  • Company / UHD Studio / We / Us: UHD Studio Media Services, a licensed media production facility in Riyadh, KSA.

  • Client / You / Your: Any individual, entity, training center, production company, advertiser, or organization that books or uses the Studio Facilities.

  • Studio Facilities: UHD Studio’s premises in Riyadh, including U-shaped Video Wall, 4K cameras, lighting, audio, control room, and associated equipment.

  • Services: Studio rental, production, simulation training, technical crew, and other media-related services.

  • Booking Confirmation: Written confirmation (email or signed agreement) specifying date, time, and scope of Services.

  • Content: Audio, visual, audiovisual, text, graphics, or other media produced or displayed by the Client.

  • Agreement: These Terms together with any Booking Confirmation, price quote, or separate written agreement.

  • VAT: Value Added Tax (currently 15%).

  • PDPL: Saudi Personal Data Protection Law.

  • GAMR: General Authority for Media Regulation.

 

1.2 Interpretation

  • Headings are for convenience only.

  • Words importing the singular include the plural and vice versa.

  • References to "writing" include email.

 

Article 2: Applicable Laws and Regulatory Compliance

  • 2.1 Governing Law: These Terms are governed by Saudi law.

  • 2.2 Regulatory Framework: UHD Studio operates under GAMR, Ministry of Commerce, SDAIA, and other authorities.

  • 2.3 Client Compliance: Client must comply with all applicable Saudi laws, including Media Law, Anti-Cyber Crime Law, PDPL, and GAMR content standards.

  • 2.4 Licenses and Permits: Client is responsible for all necessary licenses and approvals for their Content.

  • 2.5 Changes in Law: Both parties will cooperate in good faith if laws materially change.

 

Part 2: Booking and Confirmation

 

Article 3: Booking Process

  • 3.1 Request: All bookings must be submitted in writing with date, time, duration, type of service, participants, and special requirements.

  • 3.2 Availability: Bookings are subject to Studio availability; UHD Studio may refuse requests.

  • 3.3 Booking Confirmation: Valid only after (a) written confirmation, (b) Client acceptance, and (c) 100% prepayment.

  • 3.4 Quote Validity: Price quotes valid for 10 business days.

  • 3.5 48-Hour Confirmation: Client must confirm booking 48 hours in advance via email.

 

Article 4: Fees, Payment, and Taxes

  • 4.1 Fees: Based on hourly/daily rates, overtime, and optional services.

  • 4.2 Prepayment: 100% prepayment required to confirm booking.

  • 4.3 VAT: 15% added to all prices.

  • 4.4 Payment Methods: Bank transfer, credit/debit card, or agreed methods.

  • 4.5 Overtime Charges: SAR 2,500 per extra hour or part thereof.

  • 4.6 No Set-Off: Payments must be made in full without deductions unless legally required.

 

Part 3: Use of Studio Facilities

 

Article 5: Scope of Services

  • 5.1 Standard Inclusions: Studio use, basic hospitality, and cleaning before/after booking.

  • 5.2 Exclusions: Technicians, directors, custom backgrounds, editing, post-production, external equipment, talent, security (unless required), transportation.

  • 5.3 Optional Add-Ons: Technical crew, production coordination, virtual backgrounds, video recording, editing, live streaming, partnership packages.

 

Article 6: Client Responsibilities

  • Responsible for equipment, facilities, and safety during booking.

  • Responsible for Content legality, licenses, and compliance with Saudi laws, GAMR, and Islamic values.

  • Must ensure IP rights for Content and indemnify UHD Studio for violations.

  • No unauthorized sharing, illegal use, or tampering with equipment.

 

Article 7: UHD Studio Rights

  • Provide professional services per industry standards.

  • Access and inspect Studio at any time for safety and compliance.

  • Refuse or terminate booking without refund if Terms are violated.

  • Not liable for delays/failures due to force majeure; may reschedule or refund.

 

Part 4: Cancellation and Refunds

 

Article 8: Cancellation Policy

  • Client Cancellation: Must email UHD Studio.

  • Refundable: Cancellation ≥10 business days in advance.

  • Non-Refundable: No-show or <12 hours notice.

  • UHD Studio Cancellation: UHD Studio may cancel and offer alternative dates or refund.

  • Partial Use: No refund for late arrivals or early departures.

 

Part 5: Liability and Indemnification

 

Article 9: Limitation of Liability

  • Services provided "as is," no warranties.

  • Total liability limited to fees paid in past 12 months.

  • No liability for indirect or consequential damages.

  • Not liable for personal injury/property damage unless gross negligence occurs.

 

Article 10: Indemnification

  • Client indemnifies UHD Studio from all claims arising from Content, law violations, misuse of Studio, injuries, or governmental claims.

  • Client must cooperate in defense; UHD Studio may assume exclusive control.

 

Part 6: Data Protection and Privacy

 

Article 11: Personal Data Protection

  • Comply with Saudi PDPL.

  • UHD Studio collects data for booking, billing, service, and compliance.

  • Client must obtain consents for participant data and indemnify UHD Studio for PDPL violations.

  • Studio areas may be under surveillance; Client recordings follow their own privacy policies.

 

Part 7: Special Provisions for Training Center Partners

 

Article 12: Partnership Rules

  • UHD Studio removes branding per agreement; Training Center operates under its own brand.

  • Partnership packages (Silver, Gold, Platinum) are monthly; unused hours do not roll over.

  • UHD Studio will not compete with Training Center partners.

 

Part 8: General Provisions

 

Article 13: Intellectual Property

  • UHD Studio retains IP for equipment, software, templates, and materials.

  • Client retains IP for their Content; UHD Studio may use up to 30 seconds for promotion unless objected.

 

Article 14: Confidentiality

  • Maintain confidentiality of non-public information.

  • Exceptions: public info, prior knowledge, or independently developed info.

 

Article 15: Amendments

  • UHD Studio may amend Terms; material changes communicated via email or website.

  • Continued use after notice = acceptance.

 

Article 16: Severability

  • Invalid provisions do not affect remaining Terms.

 

Article 17: Waiver

  • Failure to exercise rights is not a waiver.

 

Article 18: Entire Agreement

  • Terms, Booking Confirmation, and separate agreements form the entire agreement.

 

Article 19: Notices

  • Written notices via email to Client or UHD Studio contact.

 

Article 20: Dispute Resolution

  • Governing Law: Saudi Arabia.

  • Negotiation: 15 business days for amicable resolution.

  • Arbitration: Saudi Center for Commercial Arbitration (SCCA), Riyadh.

  • Emergency Relief: Parties may seek injunctive relief from Riyadh courts.
